End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you”) and EazyCRM (“Provider,” “we,” “our”) governing your use of the EazyCRM software platform (“Software” or “Service”).

By installing, accessing, or using the Software, you agree to the terms of this Agreement. If you do not agree, do not use the Software.

1. License Grant

The Provider grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software, solely for your internal business purposes.

This license does not constitute a sale of the Software or any rights to its source code.

2. License Restrictions

You agree not to:

Copy, modify, or create derivative works of the Software.
Reverse engineer, decompile, disassemble, or attempt to obtain the source code.
Rent, lease, lend, sell, sublicense, or otherwise distribute the Software.
Use the Software for any illegal, harmful, or unauthorized purposes.
Remove, obscure, or alter any proprietary notices or trademarks.

3. Ownership

The Software and all intellectual property rights belong to the Provider and are protected by copyright, trademark, and other applicable laws.

This Agreement does not transfer any ownership rights to the User.

4. Access and Availability

The Software is provided via a hosted platform (SaaS) and requires internet access.

The Provider may update, modify, or discontinue features at any time, without liability.

5. User Data

All data you input into the Software remains your property.

By using the Software, you grant the Provider a limited license to host, process, and transmit your data solely for the purpose of providing the Service.

Data processing is subject to our Privacy Policy and Data Processing Agreement (DPA).

6. Term and Termination

This Agreement is effective upon your first use of the Software and remains in force until terminated.

The Provider may terminate this Agreement immediately if you breach any term herein.

Upon termination, you must cease all use of the Software and destroy any copies in your possession (if applicable).

7. Warranty Disclaimer

The Software is provided “as is” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

The Provider does not guarantee uninterrupted or error-free operation.

8. Limitation of Liability

To the maximum extent permitted by law, the Provider’s liability is limited to the total amount paid by the User in the 12 months preceding the claim.

The Provider is not liable for indirect, incidental, special, or consequential damages.

9. Governing Law and Jurisdiction

This Agreement is governed by the laws of Romania.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Romania.

10. Entire Agreement

This Agreement constitutes the entire agreement between you and the Provider regarding your use of the Software and supersedes all prior or contemporaneous agreements.
